Kip Weissman presented on “Mutual Institution Partnerships in an Era of Financial Consolidation” at the Ohio Bankers League 2013 Annual Meeting at The Fawcett Center, Columbus, Ohio. Mr. Weissman explored the unique challenges and opportunities faced by mutual institutions considering a merger with, or the acquisition of, another mutual institution.

Messrs. Gorman and Spaccasi addressed how to navigate the mergers and acquisition process in an increasingly challenging regulatory and stockholder activist environment. They reviewed current legal developments, governance best practices, litigation risks, disclosure issues and challenges to executing compensation arrangements relating to mergers and acquisitions.

Messrs. Spaccasi and Quint participated in a presentation sponsored by Boenning and Scattergood which discussed merger and acquisition activity in the financial services sector. The presentation consisted of a discussion of the current trends, legal and regulatory issues and the regulatory challenges facing bank mergers and acquisitions, with a question and answer period following.
