Marc Levy specializes in mergers and acquisitions, corporate and securities law, mutual-to-stock conversions, mutual holding company reorganizations, and other securities offerings for both financial institutions and other business corporations, including high-tech companies. Mr. Levy also represents financial institutions and individuals in enforcement matters before the federal banking agencies.

Prior to entering private practice, Mr. Levy was a Senior Attorney with the Securities and Exchange Commission's Division of Corporation Finance.

Representative Transactions:

  • Represented Northwest Bancorp, Inc., Warren, Pennsylvania, in its $100.0 million cash and stock acquisition of Bell Federal Bank, Pittsburgh, Pennsylvania.

  • Represented Cape Bancorp, Cape May, New Jersey, in its $107.0 million cash and stock acquisition of Boardwalk Bank, Atlantic City, New Jersey.

  • Represented First Niagara Financial Group, Inc., Buffalo, New York, in its $302.0 million stock acquisition of Harleysville National Bank.

  • Represented First Niagara Bank, Buffalo, New York, in its acquisition of 57 branches from National City Bank, PNC Financial Services Group, Inc.

  • Represented BCB Bancorp, Inc., Bayonne, New Jersey, in its $38.8 million stock acquisition of Pamrapo Bancorp, Inc.

  • Represented Investors Bancorp, Inc., Short Hills, New Jersey, in its $140.0 million acquisition of American Bank of New Jersey.

  • Represented First Niagara Financial Group, Inc., Buffalo, New York, in its $460.0 million supplemental common stock offering.

  • Represented Stifel Nicolaus & Company, Incorporated. in a $69.3 million initial public offering and stock conversion by a Pennsylvania savings bank.
