Adam Wheeler represents financial institutions and their holding companies, investment banking firms, broker-dealers and investment advisers, as well as industrial companies. He specializes in public and private securities offerings, recapitalizations, mergers and acquisitions, federal and state securities law, corporate governance and general regulatory matters.  

Representative Transactions:

  • Represented a large railroad products manufacturer in the negotiation of a merger agreement with and tender offer by a third party purchaser with a transaction value of $114 million.

  • Represented Evans Bancorp, Inc., Angola, New York, in a $13.5 million supplemental offering of common stock.

  • Represented Versailles Financial Corporation, Versailles, Ohio, in its holding company reorganization and concurrent $4.8 million initial public offering of common stock.

  • Represented Citizens South Bancorp and Citizens South Bank, Gastonia, North Carolina, in a $30.0 million offering of convertible preferred securities and the acquisition of a commercial bank in an FDIC-assisted transaction.

  • Represented ESSA Bank & Trust Company, East Stroudsburg, Pennsylvania, in the acquisition of insurance agency and broker-dealer businesses.

  • Represented Bridge Bancorp, Inc., Bridgehampton, New York, in the private placement of $16.0 million of convertible trust preferred securities.

  • Represented Keefe, Bruyette & Woods, Inc. as underwriter’s counsel in a $34.5 million common stock offering by The First of Long Island Corporation.
