Alan Schick is a co-founder of our law firm. Mr. Schick represents financial institutions and their holding companies, as well as other business corporations. Mr. Schick’s practice focuses on mergers and acquisitions, public and private capital raising, mutual-to-stock conversions, corporate and securities law, corporate governance, executive compensation, and general bank regulatory matters. He counsels corporate clients on a regular basis with respect to corporate and securities law matters, including defensive strategies, shareholder relations and dealing with activist stockholders.
Prior to entering private practice, Mr. Schick was a Senior Attorney with the Division of Corporation Finance, Securities and Exchange Commission.

- Represented BCB Bancorp, Inc. in its stock acquisition of Allegiance Community Bank.
- Represented First Guaranty Bancshares, Inc., Hammond, Louisiana, in its stock/cash acquisition of Greensburg Bancshares, Inc.
- Represented Energy Services of America in its exchange offer of warrants for common stock.
- Represented BCB Bancorp, Inc., Bayonne, New Jersey, in its stock acquisition of Pamrapo Bancorp, Inc.
- Represented Fidelity Bankshares, Inc., West Palm Beach, Florida, in its $1.2 billion cash and stock acquisition by National City Corporation.
- Represented Sound Federal Bancorp, Inc., Mamaroneck, New York, in its $256.0 million cash acquisition by Hudson City Bancorp, Inc.
- Represented OmniAmerican Bancorp, Inc., Ft. Worth, Texas, in its mutual to stock conversion and concurrent $119.0 million initial public offering of common stock.
- Represented Energy Services of America Corporation, Huntington, West Virginia, in its $60.0 million blank check stock offering and subsequent acquisitions of C J Hughes Construction Corp. and S T Pipeline, Inc.
- Represented Portec Rail Products, Inc., Huntington, West Virginia, in its initial public offering and subsequent acquisitions of Salient Systems, Inc., Kelsan Technologies Corp. and the railroad product line of Vulcan Chain Corporation.
- Represented Jacksonville Bancorp, Inc., Jacksonville, Illinois, in its holding company reorganization and concurrent $10.4 million common stock offering.
- Represented Keefe Bruyette & Woods, Inc. as underwriter’s counsel in a $99.1 million initial public offering by an Ohio mutual holding company.
